PROGRAM TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) govern the provision of language coaching services by SOLV Languages (“Company”, “we”, “us”) to the client (“Client”, “you”).

By enrolling in the Program, making payment, or ticking “I have read and agree to the Terms and Conditions,” you confirm that you have read, understood, and agreed to this Agreement.

2. Program Description and Definitions

2.1. Definitions

  • Program / Sprint: The “Conversation Lab Sprint” (also referred to as “Conversation Sprint” or “Sprint”), a structured group coaching experience designed to improve real-life French conversational ability through repeated speaking reps and coaching.

  • Session(s): Live online sessions, including group conversation sessions and group coaching sessions.

  • Coach(es): Any SOLV Languages coach, facilitator, or contractor providing Sessions.

2.2. What the Program Includes

Unless otherwise specified in writing, the Program includes:

  1. Small-Group Conversation Sessions

  • 4 sessions (typically 1 per week)

  • Delivered live online in small groups

  • Focused on structured speaking tasks and feedback loops

  1. Group Coaching Sessions

  • 4 sessions (typically 1 per week)

  • Delivered live online by SOLV Languages (e.g., Tom or another designated coach)

  • Recorded (see Section 8)

  1. Learning Resources

  • Phrase packs and flashcards designed to support your speaking practice

  • Flashcards may be provided via the SOLV app, and/or via ANKI or another backup tool if needed (see Section 9)

  1. Support

  • Email support for program-related questions, within reasonable limits

2.3. Third-Party Tools

Access to third-party software (e.g., ANKI) is not sold by SOLV Languages. We do not provide free access to paid third-party tools (e.g., the ANKI iOS app, if applicable).

3. Client Responsibilities

By joining the Program, you agree to:

3.1. Attendance and Punctuality

  • Attend scheduled Sessions on time.

  • Understand the Program is group-based and time-bound; missed Sessions cannot usually be “made up” privately.

3.2. Participation

  • Participate in good faith during group conversation sessions (microphone on when speaking, respectful behavior).

  • For group coaching sessions: if you do not want to appear on video, you must turn off your camera (and you may mute and/or participate via chat).

3.3. Practice and Ownership

  • Practice between Sessions (flashcards/phrase packs and any suggested drills).

  • Take responsibility for your learning environment (time, focus, and follow-through).

3.4. Respectful Conduct

You agree to interact respectfully with coaches and other clients. Harassment, discrimination, or disruptive behavior may result in removal from the Program without refund (see Section 12).

3.5. Confidentiality in Group Settings

You understand the Program occurs in a group environment where other participants may hear what you share. You agree to:

  • Avoid sharing sensitive personal information you do not want others to know.

  • Treat other participants’ shared information as confidential and not record, screenshot, or redistribute it.

4. Payment Terms

4.1. Program Fees

The total Program fee is communicated at the time of purchase (including any promotional/flash pricing).

4.2. Payment Obligation

All amounts are due in full at checkout unless an installment plan is explicitly offered in writing at the time of purchase.

4.3. Failed Payments (If Applicable)

If an installment plan is offered and a payment fails, we may suspend access to Sessions/resources until payment is received and use reasonable means to collect outstanding balances.

5. Scheduling, Duration, and Pausing

5.1. Fixed Schedule

The Sprint follows a fixed schedule communicated at checkout.

  • Primary conversation session: Tuesday (the primary day).

  • Additional slots (e.g., Thursday): may be opened at our discretion only if demand/capacity allows. We do not guarantee additional slots beyond the primary Tuesday session.

  • Group coaching: occurs weekly at the time shown at checkout and is recorded.

5.2. Program Duration

The Program is designed as a 4-week experience starting on the official start date communicated at checkout/onboarding.

5.3. Pausing

Because the Sprint is short, group-based, and scheduled, pausing is not supported. If you miss a Session, you may be able to rely on any available materials/recordings (coaching sessions only) but you are not entitled to extra private Sessions.

6. Coach Assignment and Changes

6.1. Coach Assignment

Group conversation sessions and coaching sessions are facilitated by SOLV Languages coaches.

6.2. Changes

SOLV Languages may change a coach or facilitator when needed for operational or quality reasons. This does not constitute a breach of contract.

7. Rescheduling and Cancellations

7.1. Client Rescheduling

Because Sessions are group-based, clients cannot reschedule a Session to another date/time. If you cannot attend, you simply miss that Session.

7.2. Company Rescheduling

If SOLV Languages must cancel a Session due to coach unavailability or technical failures on our side, we will, where reasonably possible:

  • Reschedule the Session, or

  • Provide a reasonable replacement (e.g., alternate session time, substitute coach, or equivalent credit at our discretion).

8. Recordings, Image/Voice, and Privacy (Group Coaching)

8.1. Coaching Session Recordings

Group coaching sessions are recorded for participants’ learning and catch-up purposes.

By participating in group coaching, you consent to:

  • The recording of the session, which may include your name, image, and/or voice if you have camera/microphone enabled.

8.2. If You Do Not Want to Appear on Video

If you do not want to appear in the recording, you must:

  • Turn off your camera before and during the session.
    You may also:

  • Keep your microphone muted unless you choose to speak,

  • Participate via chat when available,

  • Use a neutral display name (optional).

8.3. Recording Access Duration

Access to recordings (if provided) is made available for the period communicated at checkout or in onboarding instructions. We may revoke access after that period.

8.4. Conversation Sessions

Small-group conversation sessions are not recorded by default. If we ever decide to record any conversation sessions, we will notify participants in advance and specify the consent process.

9. Materials, Flashcards, and Technical Limitations

9.1. Flashcards and Backup Delivery

Flashcards and phrase packs may be delivered through:

  • The SOLV app, and/or

  • ANKI or another app as a backup solution if needed.

We do not guarantee uninterrupted availability of third-party tools or platforms.

9.2. Quality and Limitations

Materials may be generated using a mix of human input and software tools. Occasional errors or imperfections may occur. If you report a clear issue, we will make reasonable efforts to correct it where feasible.

9.3. Technical Requirements

You are responsible for:

  • Stable internet connection,

  • A functioning device for video calls and resource access.

We are not responsible for Session quality issues caused by client-side technical problems.

10. Refund Policy (Conversation Lab Sprint)

Because the Sprint is time-bound, group-based, and includes limited spots:

  • No refunds are provided once the Sprint has started, except where required by applicable law.

  • If SOLV Languages cancels the Program intake entirely (without providing a reasonable alternative), we will issue a refund for amounts paid for that intake.

(If you choose to offer a pre-start refund window, this section should be updated accordingly.)

11. Service Level and Results Disclaimer

SOLV Languages commits to delivering the Sessions professionally and in good faith.

However, language learning results vary. The Program does not guarantee:

  • Specific exam scores,

  • Perfect grammar,

  • A specific level outcome by a certain date.

The Program is designed to improve:

  • Speaking confidence,

  • Conversational reflexes,

  • Real-life spoken interaction.

12. Breach of Contract and Removal

If you repeatedly fail to participate in good faith, or if your behavior harms the experience of coaches or other participants (e.g., harassment, abusive language, repeated disruption), SOLV Languages may, at its discretion:

  • Remove you from the Program without refund, and/or

  • Restrict access to Sessions and resources.

13. Confidentiality and Intellectual Property

13.1. Intellectual Property

All materials provided (frameworks, recordings, phrase packs, flashcards, worksheets, etc.) remain the intellectual property of SOLV Languages.

You may use these materials for personal learning only. You may not reproduce, share, sell, or distribute them to third parties without written permission.

13.2. Confidentiality

We handle personal data in accordance with applicable EU GDPR requirements. You agree to respect confidentiality within group sessions as described in Section 3.5.

14. Communication

Primary communication takes place via:

We aim to respond within a reasonable timeframe during business days.

15. Dispute Resolution and Governing Law

15.1. Informal Resolution

In case of disagreement, both parties agree to attempt good-faith resolution via direct communication first.

15.2. Governing Law and Jurisdiction

This Agreement is governed by the laws of Estonia. The competent courts of Estonia shall have exclusive jurisdiction.

16. Force Majeure

Neither party is liable for delays or failure to perform obligations due to events beyond reasonable control (e.g., natural disasters, war, strikes, widespread outages, governmental restrictions). In such cases, timelines may be adjusted and both parties will work in good faith on a reasonable solution.

17. Acceptance of Terms

By checking “I have read and agree to the Terms and Conditions,” and/or making payment, and/or participating in the Program, you acknowledge that you:

  • Have read and understood this Agreement,

  • Agree to be bound by its terms,

  • Understand the refund and recording terms described above.
