2. Program Description and Definitions
These Terms and Conditions ("Agreement") govern the provision of language coaching services by
SOLV Languages ("Company", "we", "us") to the client ("Client", "you").
By enrolling in the Program, making payment, or ticking "I have read and agree to the Terms and
Conditions," you confirm that you have read, understood, and agreed to this Agreement.
2.1 Definitions
- Program: The "30/90 Accelerator" (also referred to as the "30/90 Program"), a coaching program designed to improve your real-life French conversational ability over an approximately 90-day period.
- 1:1 Coaching Session: A live one-on-one conversation coaching session (approximately 45 minutes) with a SOLV coach.
- Group Coaching Session: A live group coaching session focused on learning performance, clarity, and accountability.
- App: The SOLV Languages app (dashboard, fluency analyzer, goals, habits, and flashcards), subject to availability and ongoing updates.
- Coach(es): Any SOLV Languages coach, facilitator, or contractor providing services under this Agreement.
2.2 What the Program Includes
- 12 x 1:1 Coaching Sessions (approximately 45 minutes each).
- Group Coaching: up to 12 live group coaching sessions during the Program period (schedule communicated by SOLV).
- App access during the Program period (dashboard, fluency analyzer, goals, habits, and flashcards).
- Unlimited flashcards creation within reasonable limits for your learning needs, delivered primarily through the App.
- Email support for questions related to the Program, within reasonable limits.
- The Program does not include a separate onboarding session. Your first 1:1 Coaching Session serves as the start of the Program (unless otherwise specified in writing).
- Planned features (for example, an AI conversation tutor) may be added in the future, but are not guaranteed by a specific date and may change.
2.3 Third-Party Tools (Backup Only)
- Flashcards are provided primarily through the SOLV app. Third-party tools such as ANKI may be used only as a backup when needed.
- Access to third-party software (for example, ANKI) is not sold by SOLV Languages. We do not provide free access to paid third-party tools (for example, the ANKI iOS app, if applicable).
3. Client Responsibilities
3.1 Attendance
- Attend all scheduled 1:1 Coaching Sessions on time.
- Arrive prepared and ready to participate. For best results, we recommend a consistent weekly rhythm.
3.2 Participation and Learning Environment
- Maintain active presence during sessions (camera and microphone on) unless otherwise agreed for accessibility or privacy reasons.
- Ensure a stable internet connection and a quiet learning environment as much as reasonably possible.
3.3 Practice and Flashcards
- Complete assigned practice, including flashcards and any suggested drills.
- Use the flashcards system as instructed. You understand that consistent daily practice is a core part of results.
3.4 Communication
- Promptly communicate concerns about progress, scheduling issues, or technical problems.
- Respond to reasonable requests for information needed to deliver the Program (for example, scheduling confirmations).
3.5 Serious Commitment
- The Program is designed for serious, committed learners. By enrolling, you confirm that you intend to follow the plan to the best of your ability.
4. Payment Terms
4.1 Program Fees
- The Program fee is communicated at the time of purchase.
4.2 Payment Plans
- If you choose a payment plan, you understand the plan covers the entire Program fee, not a deposit.
- The first payment secures your spot and activates access.
- Remaining installments are still due even if you delay, miss sessions, or fail to start, unless explicitly agreed otherwise in writing.
- Payment plans are a convenience for cash flow, not a "pay only if you show up" arrangement.
4.3 Late or Failed Payments
- If a scheduled payment fails or is not made on time, we may temporarily suspend access to sessions and resources until payment is received, and/or use reasonable means to collect outstanding payments.
- Continued non-payment may be considered a breach of this Agreement.
5. Scheduling, Duration, and Pausing
5.1 Scheduling
- Clients are encouraged to schedule one 1:1 Coaching Session per week at a consistent time.
- Clients may schedule up to three sessions per week if needed and if coach availability allows.
- All sessions are booked using the provided scheduling application (for example, Calendly) or another tool provided by SOLV.
5.2 Program Duration
- The Program is designed as a 90-day (approximately 12-week) coaching process.
- The official Program start date is the date of your first 1:1 Coaching Session, unless otherwise specified in writing.
- All 1:1 Coaching Sessions must be scheduled and used within 120 calendar days from the Program start date. After this period, any unused sessions are considered expired and will be deemed delivered.
5.3 Pausing the Program
- You may request a temporary pause (for example, illness, travel, personal emergency) by writing to contact@solvlanguages.com.
- Total pause time may not exceed 30 days during the Program.
- The Program end date may be extended by the approved pause duration.
- Pauses longer than 30 days may result in loss of the Satisfaction Guarantee (see Section 9).
6. Coach Assignment and Changes
6.1 Coach Assignment
- You will be assigned a coach at the beginning of the Program.
6.2 Changes
- You may request a change of coach at any time, for any reason, subject to availability.
- SOLV Languages reserves the right to change a client's coach when necessary for operational or quality reasons.
6.3 Feedback
- Evaluations may be collected after sessions and reviewed by management to maintain quality.
7. Rescheduling and Cancellations
7.1 Rescheduling
- Sessions may be rescheduled at least 24 hours in advance without penalty, using the scheduling application, unless otherwise stated by your coach.
7.2 Late Cancellations and No-Shows
- Sessions cancelled within 24 hours of the scheduled time or missed without notice may be counted as used and not rescheduled or refunded, unless otherwise agreed by the coach or Company.
8. Materials, Flashcards, and Technical Limitations
8.1 Flashcards Creation and Quality
- Flashcards are created based on your sessions, using both manual input and automated tools.
- Due to volume and automation, occasional errors, omissions, or imperfect translations may occur. SOLV Languages does not guarantee a 100% error-free set of flashcards.
- We commit to correcting specific issues you report within a reasonable timeframe, where technically feasible.
8.2 Nature of Support Tools
- Flashcards and app tools are supporting resources, not the primary service.
- The core of the Program is coaching and conversation practice; flashcards are designed to reinforce learning.
8.3 Third-Party Platforms
- SOLV Languages is not liable for bugs, downtime, or technical issues of third-party platforms used as backups, or for changes to third-party pricing, policies, or features.
- We provide reasonable guidance to help you use the tools but cannot guarantee third-party performance.
8.4 Technical Requirements
- You are responsible for a stable internet connection and a suitable device (computer/tablet/phone) for video calls and app access.
- SOLV Languages is not responsible for session quality issues arising from client-side technical problems.
9. Satisfaction Guarantee (Service Extension)
9.1 Guarantee Overview
SOLV Languages offers a conditional Satisfaction Guarantee for the 30/90 Accelerator.
If you fully complete the Program as designed and are not satisfied with your spoken French
progress, SOLV Languages will, at no additional cost, provide an extra four (4) weeks of 1:1 coaching
support (no group sessions). This is the sole remedy under this Guarantee (no cash refund).
9.2 Start of the Guarantee Period
The guarantee period begins on the date of your first 1:1 Coaching Session.
9.3 Conditions for Eligibility
- You attend all 12 standard 1:1 Coaching Sessions within a maximum period of 16 weeks from the Program start date (allowing up to 4 flex weeks).
- You participate actively with camera and microphone on, unless otherwise agreed for accessibility reasons.
- You use the SOLV flashcards system on at least 70 separate days within the first 90 days from the Program start date, allowing SOLV to verify your activity via app tracking (or an equivalent tracking method if a backup tool is used).
- Any pause must be communicated in advance in writing and approved by SOLV. Total pause time must not exceed 30 days.
9.4 What the Extra Four Weeks Include
- Up to four (4) additional 1:1 Coaching Sessions (typically one per week), scheduled within a reasonable timeframe.
- Reasonable continuation of flashcards support during the extension period.
9.5 Process for Claiming the Guarantee
- Email support@solvlanguages.com within 5 days after your 12th standard 1:1 Coaching Session, briefly explaining why the Program did not meet your expectations.
- Agree to a short exit/feedback conversation (live or recorded) so we can review your experience and plan the extension.
- SOLV Languages will review your attendance and flashcards activity and respond within 7 business days.
9.6 Limitations
- This Guarantee applies only to the 30/90 Accelerator and does not apply to other services, add-ons, or upgrades.
- If the conditions in Section 9.3 are not met, the Satisfaction Guarantee does not apply.
10. General Refund Policy (Outside the Guarantee)
Outside of the Satisfaction Guarantee described in Section 9, no partial or total refunds are provided,
except in exceptional circumstances explicitly agreed in writing by SOLV Languages.
Failure to attend sessions or use the resources does not entitle you to a refund.
11. Service Level and Limitations
SOLV Languages commits to providing coaching and services in a professional manner. If a session
fails to meet professional standards due to coach-related issues (for example, coach no-show or
serious technical problem on the coach's side), we will reschedule the session at no additional cost.
The Program is designed to improve confidence in speaking, conversational fluency, and real-life
spoken interaction in French. The Program does not guarantee specific exam scores, formal writing
proficiency, or academic grammar mastery.
12. Breach of Contract by Client
If you repeatedly fail to attend sessions, participate in good faith, or meet essential requirements,
SOLV Languages may, at its discretion, declare this Agreement breached and adapt, limit, or
terminate the Program without refund.
13. Confidentiality and Intellectual Property
13.1 Intellectual Property
- All materials provided (flashcards, worksheets, recordings, frameworks, etc.) remain the intellectual property of SOLV Languages.
- You may use these materials for your personal learning only.
- You may not reproduce, share, sell, or distribute the materials to third parties without written permission.
13.2 Confidentiality
SOLV Languages will keep your personal information and session content confidential, except where
disclosure is required by law. Data is handled in accordance with applicable EU GDPR requirements.
14. Communication
Primary communication takes place via email (contact@solvlanguages.com) and designated
platforms (for example, scheduling tools or program portal). We aim to respond within a reasonable
timeframe during business days.
15. Dispute Resolution and Governing Law
15.1 Informal Resolution
In case of any disagreement or issue, both parties agree to first seek a good-faith resolution through
direct communication (email or call).
15.2 Jurisdiction
Disputes shall be resolved in accordance with the laws of Estonia. The competent courts of Estonia
shall have exclusive jurisdiction.
16. Force Majeure
Neither party shall be liable for delays or failure to perform obligations where such failure results from
events beyond reasonable control (for example, natural disasters, war, strikes, civil unrest,
widespread outages, or governmental restrictions). Timelines may be adjusted, and both parties will
work in good faith to find a reasonable solution.
17. Acceptance of Terms
By checking "I have read and agree to the Terms and Conditions" and/or making payment for the
Program and/or participating in the Program, you acknowledge that you have read and understood
this Agreement and agree to be bound by its terms.
